• Counsel to board of directors, audit and special board committees and executives of TECO Energy with respect to corporate governance, management succession, best practices for officers and directors, corporate compliance and conflict of interest matters and other legal matters affecting the corporation, its officers and directors

• Counsel to board and executives in connection with disclosure (including environmental disclosure), litigation, SEC and other regulatory investigations and audits and shareholder concerns

• Lead counsel representing buyer, seller, investor or guaranty in numerous transactions, including the following:

• $300 million acquisition (merger) of the largest natural gas distribution company in Florida (Buyer)

• Structuring of numerous partnerships or business entities for off-shore tax deferral strategies; accommodation of multiple investors with differing rights, including project financing and multiple other issues

• Primary counsel in connection with the development, design, construction, project financing, operation and maintenance of many power plants in the United States, Central America and Eastern Europe

• Lead counsel on the work-out and restructuring of a $2.2 billion project financing of the two largest power plants in the United States involving a 40 member lending group

• Counsel for TECO Energy in connection with numerous public debt offerings, including medium and long-term notes, commercial paper; pollution control and other similar government backed bonds; many straight forward corporate financings and credit lines

• Developed and Maintained: Corporate Compliance Program; Enterprisewide Risk Assessment; Environmental and Sustainability Reports

• Settled the first New source Review (NSR) Case under the Clean Air Act involving coal-fired power plants brought by the U.S. EPA and the Environmental Division of the U.S. Department of Justice. The matter was resolved using strategic business opportunities which benefited the general public and the parties.
